1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and SuperApp ("Company," "we," "us," or "our") concerning your access to and use of the SuperApp platform, including our mobile applications, websites, and related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

To use the Services, you must:

• Be at least 13 years old (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Services under applicable law
• Provide accurate and complete registration information
• Maintain the security of your account credentials

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Acceptable Use and User Conduct

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Harass, abuse, threaten, or intimidate other users
• Impersonate any person or entity or misrepresent your affiliation
• Engage in spam, phishing, or unauthorized advertising
• Interfere with or disrupt the Services or servers/networks
• Attempt to gain unauthorized access to any part of the Services
• Collect or harvest information about other users without consent
• Use the Services for illegal activities or to promote violence
• Reverse engineer, decompile, or disassemble any part of the Services
• Remove or modify any proprietary notices or labels
• Use automated systems to access the Services without permission

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you upload, share, or create through the Services ("User Content"). By using the Services, you grant SuperApp a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely to provide and improve the Services.

5.2 Our Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other materials, are owned by SuperApp or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without compensation or attribution.

12. Indemnification

You agree to indemnify, defend, and hold harmless SuperApp, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your negligence or willful misconduct

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended inactivity
• Non-payment of fees
• At our sole discretion

Upon termination, your right to use the Services will immediately cease. We may delete your account and User Content without liability.

You may terminate your account at any time through account settings or by contacting support. Sections of these Terms that by their nature should survive termination shall survive.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a formal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith for 60 days.

14.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in Los Angeles, California, or remotely.

Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

14.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Services.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

16. General Provisions

16.1 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Services or via email. Your continued use after changes constitutes acceptance.

16.2 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and SuperApp regarding the Services.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.6 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, acts of war, labor disputes, or internet service failures.
